The rules of using BusinessOS AI.

These Terms form a legally binding agreement between you ("you", "your") and Kelechi C Damian (trading as BusinessOS AI) ("BusinessOS AI", "we", "us"). By creating an account, accessing, or using our services, you accept these Terms in full.

If you are using BusinessOS AI on behalf of a business or organization, you confirm that you have the authority to bind that organization to these Terms.

BusinessOS AI is an AI-powered business platform that helps businesses build websites, manage customers and leads, generate content with AI, manage invoices, and operate online. We are operated by Kelechi C Damian (trading as BusinessOS AI), based at No 2 Oleh Rd, Sapele, Delta State, 331107, Nigeria.

BusinessOS AI is not currently a registered limited liability company. We operate as a sole proprietorship. When we incorporate as a company, these Terms will be updated to reflect the new legal entity.

You must be at least 18 years old to use BusinessOS AI. By using our services, you represent and warrant that you meet this requirement and that all information you provide is accurate and complete.

• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately at [email protected] if you suspect unauthorized access to your account.
• We may suspend or terminate accounts that violate these Terms or that pose a risk to our platform or other users.

BusinessOS AI offers the following plans (prices in Nigerian Naira, subject to change with notice):

• Free: ₦0 forever — 1 website, basic CRM, lead capture, invoices, and limited AI Studio usage.
• Pro: ₦15,000 per month — 5 websites, advanced CRM, WhatsApp AI, campaigns, store & payments, full AI Studio.
• Business: ₦35,000 per month — everything in Pro plus 20 websites, advanced AI features, WhatsApp automation, and priority support.

Payments are processed by Paystack. By upgrading to a paid plan, you authorize us to charge your selected payment method on a recurring monthly basis until you cancel.

Prices may change. We will notify you at least 30 days in advance of any price change for your plan. If you do not agree to the new price, you may cancel before the change takes effect.

Pro-rated refunds on cancellation. If you cancel a paid subscription, you are entitled to a pro-rated refund of the unused portion of your current billing period. For example, if you cancel on day 10 of a 30-day Pro subscription, you will receive a refund for the remaining 20 days, calculated at ₦500 per day (₦15,000 ÷ 30).

To cancel and request a pro-rated refund:

• Cancel your subscription from the Billing page in your dashboard, or
• Email us at [email protected] with the subject line "Refund Request" and the email associated with your account.

Refunds are processed through Paystack and typically take 5 to 10 business days to appear in your account, depending on your bank or card issuer.

Exceptions. We may decline a refund if we detect abuse, fraudulent activity, or a violation of these Terms.

BusinessOS AI uses third-party AI models (currently OpenAI) to generate websites, text, images, and other content at your request.

• Ownership. Subject to OpenAI's terms, you own the content that BusinessOS AI generates for you. We claim no ownership over your AI-generated content.
• Accuracy. AI-generated content may contain errors, inaccuracies, or unexpected results. You are responsible for reviewing, editing, and verifying all AI-generated content before you publish or rely on it.
• Compliance. You are responsible for ensuring that any content you generate or publish through BusinessOS AI complies with applicable laws, advertising standards, and platform rules (including Meta's WhatsApp policies).
• No professional advice. BusinessOS AI does not provide legal, financial, tax, medical, or accounting advice. Any such content generated is for informational purposes only.

You agree not to use BusinessOS AI to:

• Violate any law, regulation, or third-party right.
• Send spam, unsolicited messages, or bulk messaging that violates WhatsApp, Meta, or Twilio policies.
• Generate or distribute content that is illegal, defamatory, hateful, sexually explicit, or that promotes violence or harm.
• Impersonate another person or misrepresent your affiliation with any person or entity.
• Attempt to gain unauthorized access to our systems or the systems of others.
• Reverse-engineer, scrape, or attempt to extract the source code of our platform.
• Resell, sublicense, or provide the platform to third parties without our written consent.

We may suspend or terminate your account without refund if you violate this section.

The BusinessOS AI platform, including its design, code, branding, and underlying technology, is owned by us and protected by copyright and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of the platform without our written permission.

You retain full ownership of the business data, customer data, and content you upload or create through BusinessOS AI. By using our platform, you grant us a limited license to process that content solely to provide our services to you.

BusinessOS AI integrates with third-party services including Supabase, Vercel, Cloudflare, Paystack, OpenAI, and Twilio. Your use of those services is subject to their own terms and privacy policies. We are not responsible for the availability, accuracy, or actions of third-party services.

You may close your account at any time from your dashboard or by contacting us. If you close your account on a paid plan, you are eligible for a pro-rated refund as described in Section 6.

We may suspend or terminate your access to BusinessOS AI at any time if you violate these Terms, if required by law, or if we discontinue the service. If we discontinue the service without cause, we will refund the unused portion of your current billing period.

BusinessOS AI is provided "as is" and "as available". To the maximum extent permitted by law, we make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the service will be uninterrupted, error-free, or free of harmful components. We do not warrant that AI-generated content will be accurate, complete, or suitable for any particular purpose.

To the maximum extent permitted by law, our total liability to you for any claim arising from or related to these Terms or your use of BusinessOS AI will not exceed the amount you have paid us in the 3 months preceding the claim.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption.

You agree to indemnify and hold harmless Kelechi C Damian (trading as BusinessOS AI) and its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of BusinessOS AI, your violation of these Terms, or your violation of any third-party right.

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms or your use of BusinessOS AI shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

Before filing a formal claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally within 30 days.

We may update these Terms from time to time. When we make material changes, we will notify you by email or through the platform at least 14 days before the changes take effect. Continued use of BusinessOS AI after the changes take effect constitutes acceptance of the revised Terms.
